These Terms of Service ("Terms") govern your access to and use of Incorporated.pro's business formation services, corporate management tools, and compliance platform.
1. Acceptance of Terms
By using our corporate services platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are acting on behalf of a business entity, you represent that you have authority to bind that entity.
2. Professional Services Relationship
Our services include the preparation and filing of business formation documents, registered agent services, and compliance management. We serve as a service provider and technology platform, not as your legal counsel unless explicitly engaged for such services.
3. User Responsibilities
You agree to:
Provide accurate and complete information for business filings
Maintain current contact information with state authorities
Review all documents before filing and notify us of any errors
Comply with all ongoing state compliance requirements
Secure necessary licenses and permits for your business activities
4. Intellectual Property
Our corporate document templates, filing methodologies, software platform, and business processes are proprietary property of Incorporated.pro. You receive a limited license to use our services for your business needs.
5. Service Limitations
While we strive for accuracy and timeliness, we cannot guarantee:
Specific filing timeframes, as these are controlled by state agencies
Approval of business names or specific entity structures
Availability of desired business names or trademarks
Continuous access to state filing systems
6. Compliance Monitoring
Our compliance services include monitoring and reminders for state requirements, but ultimate responsibility for compliance remains with the business entity and its representatives.
7. Fee Structure
Service fees are clearly disclosed during the ordering process. Additional state fees and third-party costs are passed through at cost. We reserve the right to modify service fees with 30 days' notice to active clients.

OUR SERVICES DO NOT CONSTITUTE LEGAL ADVICE. WE RECOMMEND CONSULTING WITH QUALIFIED LEGAL COUNSEL FOR SPECIFIC LEGAL QUESTIONS OR COMPLEX BUSINESS STRUCTURES.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCORPORATED.PRO'S LIABILITY FOR SERVICE ISSUES IS LIMITED TO THE FEES PAID FOR THE SPECIFIC SERVICE IN QUESTION. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM BUSINESS FORMATION OR COMPLIANCE MATTERS.
10. Governing Law
These Terms are governed by Delaware law. Any disputes shall be resolved through arbitration in Wilmington, Delaware.
